1. Acceptance of Terms

By accessing and using SD Panthers AI ("we," "us," "our," or "the Service"), operated by SD Panthers LLC, you ("User," "you," or "your") accept and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We may update, change, or replace any part of these Terms at any time. It is your responsibility to check this page periodically. Your continued use of the Service after changes constitutes acceptance of those changes.

2. Description of Service

SD Panthers AI provides software, APIs, and web experiences that may include, without limitation: clinical and biomedical intelligence tools (including evidence summaries, workspace features, and related workflows); market data, analytics, and forecasting views; options and research utilities; AI agents and orchestration ("Quantum Studio" and similar); workflow and automation builders ("Automation Studio" and similar); translation and document-oriented tools; podcasts and educational content; dashboards, billing, and account management; and other features we describe in-product or on our website.

Specific modules and availability may change. Not all features are available in all plans or regions.

4. Limitation of liability

To the maximum extent permitted by law:

• SD Panthers LLC and its officers, directors, employees, agents, and affiliates ("Released Parties") shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
• Released Parties are not liable for financial losses, trading losses, or investment losses resulting from use of our Service, content, analysis, predictions, or tools.
• Released Parties are not liable for any errors, omissions, inaccuracies, or delays in information provided through the Service.
• Released Parties are not liable for decisions you make based on clinical- or health-oriented outputs, including any use of such outputs in patient care, research, or regulatory submissions.
• Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve months preceding the claim, or USD $100, whichever is greater.
• Some jurisdictions do not allow certain limitations; where prohibited, those limitations may not apply to you.

5. No warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, error-free, or secure operation, or that outputs (including AI-generated content) will be accurate or fit for any particular purpose.

6. Indemnification

You agree to indemnify, defend, and hold harmless SD Panthers LLC and its Released Parties from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of third-party rights, your investment or trading activity, your use of clinical or health-related outputs, and any content you submit through the Service.

7. User accounts and responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities under your account
• Using strong passwords and enabling two-factor authentication when offered
• Notifying us promptly of unauthorized use
• Providing accurate registration information

We may suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

8. Subscription and payment terms

• Billing: Fees are billed in advance where applicable, in USD, unless otherwise stated.
• Cancellation: You may cancel subscriptions according to in-product controls; cancellation timing and refunds may depend on your plan and applicable law.
• Price changes: We may change prices with reasonable notice where required.
• Payment failures: May result in suspension or termination of access.
• Taxes: You are responsible for applicable taxes.

9. Use restrictions

You agree not to:

• Use the Service unlawfully or to violate others' rights
• Attempt unauthorized access to our systems or other users' accounts
• Use bots or scrapers without permission, or overload our infrastructure
• Reverse engineer except where applicable law permits
• Introduce malware or disrupt the Service
• Misrepresent outputs as regulated advice (medical, legal, or financial) where you are not qualified
• Harass other users or misuse personal data obtained through the Service

10. Intellectual property

Software, branding, documentation, and other materials are owned by SD Panthers LLC or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service as we intend. You may not remove proprietary notices, resell access without authorization, or use our marks in a confusing manner.

11. Dispute resolution and governing law

Binding arbitration: Except where prohibited by law, disputes relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA), in San Diego County, California, United States.

Class action waiver: You agree to resolve disputes individually, to the extent permitted by law.

Governing law: These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

12. Termination

We may suspend or terminate access for reasons including violation of these Terms, fraud, abuse, non-payment, extended inactivity, or operational necessity.
